Terms of Use

By installing or using the Agile Analytics extension (“the Extension”) from the Visual Studio Marketplace, you agree to these Terms of Use. Please read them carefully before installation.

1. Acceptance of Terms

These Terms of Use constitute a legally binding agreement between you (the user or organization installing the Extension) and analytics-baytek (the publisher). By installing the Extension, you confirm that you have the authority to accept these terms on behalf of your organization and that you agree to be bound by them.

2. License

Subject to these Terms, analytics-baytek grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension solely for your internal business purposes within Azure DevOps.

You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Extension or make it available to any third party in any way.

3. Customer Controls Installation & Configuration

The Extension is installed and managed entirely by the Azure DevOps organization administrator (“Customer”). The Customer controls:

  • Whether the Extension is installed in their organization
  • Which projects and teams have access to the Extension hub
  • All configuration settings, including AI integrations and WIP limits
  • Role assignments (Admin/User) within the Extension
  • Uninstallation of the Extension at any time

The publisher does not control, access, or modify any Extension settings or data within a Customer's Azure DevOps organization.

4. No Publisher-Hosted Backend

The Extension operates entirely within your Azure DevOps tenant. There is no publisher-hosted server, API, or backend infrastructure. All data processing occurs within Azure DevOps using Microsoft's native Extension SDK, REST APIs, and Extension Data Service.

The publisher does not operate any servers that receive, store, or process your Azure DevOps data, except as explicitly described in the Privacy Policy for optional features (AI Assistant, webhook notifications) that you elect to enable.

5. Provided “As Is”

THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The publisher does not warrant that the Extension will be error-free, uninterrupted, or free of bugs. Analytics outputs (including Monte Carlo forecasts, velocity trends, and flow metrics) are informational tools and should not be the sole basis for critical business decisions.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE EXTENSION.

IN NO EVENT SHALL THE PUBLISHER'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT YOU PAID FOR THE EXTENSION IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

7. Third-Party Services

If you configure optional integrations with third-party AI providers (Azure OpenAI, Anthropic, OpenAI) or webhook endpoints, your use of those services is governed by the respective third party's own terms of service and privacy policy. The publisher is not responsible for the practices or content of third-party services.

8. Support

Support is provided on a best-effort basis through GitHub Issues. There is no guaranteed response time for the Starter (free) plan. Pro plan users receive email support with a target 48-hour response. Business plan users receive priority support with a target 24-hour response.

9. Updates & Modifications

The publisher reserves the right to modify, update, or discontinue the Extension at any time. Updates are distributed through the Visual Studio Marketplace. The publisher may also update these Terms at any time. Material changes will be noted in the extension's Marketplace changelog. Continued use after changes constitutes acceptance.

10. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with them. Upon termination, you must cease all use of the Extension and uninstall it from your organization. Sections 5, 6, and 10 shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or the courts of competent jurisdiction.
