Agile Analytics for Azure DevOps — Terms of Service

1. Acceptance of Terms

By installing or using Agile Analytics (“the Extension”), you agree to these Terms of Service (“Terms”). If you do not agree, do not install or use the Extension. These Terms are between you (or your organization) and Baytek Software (“Baytek”, “we”, “us”, “our”).

2. Description of Service

The Extension is an Azure DevOps marketplace extension that provides sprint analytics, flow metrics, cycle-time analysis, aging charts, Monte Carlo forecasting, WIP monitoring, and team performance views. The Extension is delivered through the Visual Studio Marketplace and runs inside Azure DevOps using read-only scopes.

3. License Grant

Subject to these Terms and payment of applicable fees, Baytek grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension within your Azure DevOps organization for your internal business purposes.

4. Trial and Subscription

  • Free trial: Each Azure DevOps organization receives a 30-day free trial automatically on first install. No payment information is required to start the trial.
  • Subscription plans: After the trial, continued use requires an active subscription purchased at https://ado-analytics.baytekdev.com/pricing/. Plans are listed on the pricing page (Team / Business / Premium) with per-seat allowances.
  • Term and renewal: Subscriptions renew automatically at the end of each billing period (annual for all plans sold today; subscriptions purchased when a monthly option existed keep their original monthly period) unless cancelled. You can cancel at any time before the next renewal date.
  • License activation: After purchase, you receive a license key by email. An organization administrator activates it inside the Extension — either on the lock screen (if the trial has already expired) or under Configuration > License. The license is bound to the Azure DevOps organization that activated it.
  • Lock-out: If the trial expires without an active subscription, or if a subscription lapses, the Extension enters a locked state and stops rendering analytics views until a valid licence is activated. The one exception is the Sprint Forecast dashboard widget, which remains available to every organization without a trial or subscription and is not affected by this lock-out.

5. Fees and Payment

  • Fees are listed in U.S. dollars on the pricing page and are exclusive of taxes, which you are responsible for where applicable.
  • Payment is processed by Stripe, our payment sub-processor. Baytek does not store card numbers.
  • Refunds — the trial is the guarantee: Every organisation receives a 30-day free trial of the complete product before any payment, with no credit card required, and we extend the trial on request where more evaluation time is needed. Because the full product can be tested before purchase, paid subscriptions are non-refundable except where required by applicable law. We may, at our discretion, prorate or refund in cases of extended service unavailability. Subscriptions purchased before this clause took effect retain the 30-day money-back guarantee that applied at the time of their purchase.
  • Price changes: We may change pricing for renewal periods with at least 30 days' notice by email to the billing contact.

6. Permitted Use

You may:

  • Install the Extension on Azure DevOps organizations you administer
  • Use the Extension for your organization's internal business purposes
  • Configure workflow mappings, WIP limits, notifications, and access control

You may not:

  • Reverse engineer, decompile, or disassemble the Extension except where permitted by law
  • Redistribute, sublicense, resell, or share the Extension or licence keys
  • Use the Extension to develop a competing product
  • Attempt to circumvent licensing or access controls
  • Use the Extension in violation of applicable law or Microsoft's Marketplace terms

7. Customer Responsibilities

  • You control installation, configuration, and removal in your Azure DevOps organization
  • You are responsible for assigning users and roles in the Extension's Access Control configuration
  • You are responsible for any external webhook or GitHub configuration you enable, including the security of any tokens you provide
  • You are responsible for ensuring your use complies with applicable law, your internal policies, and Microsoft Azure DevOps terms

8. Optional Third-Party Integrations

The Extension supports optional integrations that you choose to enable:

  • GitHub (Copilot usage metrics)
  • Microsoft Teams Incoming Webhook
  • Slack Incoming Webhook

When you enable an integration, requests are sent from your browser directly to the third-party endpoint using credentials you provide. Baytek is not responsible for the availability, terms, or privacy practices of those third-party services. You are responsible for reviewing and accepting their terms.

9. Data and Privacy

Your use of the Extension is also governed by our Privacy Policy. The Extension uses read-only Azure DevOps scopes and stores configuration data within your Azure DevOps tenant via Microsoft's Extension Data Service. Baytek's backend stores only licensing data, minimal telemetry data and monthly AGAN AI usage totals (section 21), as detailed in the Privacy Policy.

10. Updates

We may update the Extension from time to time to:

  • Fix bugs or security issues
  • Add new features or improve existing ones
  • Maintain compatibility with Azure DevOps platform changes

Updates are distributed through the Visual Studio Marketplace. Auto-update behavior is controlled by your Azure DevOps organization settings.

Feature deprecation. We do not remove or hide features that paying subscribers can see without providing a replacement and at least 90 days' advance notice through the release notes and, where we have a billing contact, by email. Renaming or relocating a feature counts as a change we announce the same way. Adding new features and improving existing ones is not subject to this notice period.

11. Intellectual Property

The Extension, including its source code, design, documentation, and branding, is the intellectual property of Baytek Software. All rights not expressly granted in these Terms are reserved. Trademarks belong to their respective owners.

12. Disclaimer of Warranties

THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Extension will be uninterrupted or error-free
  • Analytics results will be 100% accurate, since they depend on Azure DevOps data quality
  • The Extension will meet all of your specific requirements
  • Monte Carlo forecasts represent guaranteed delivery dates

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYTEK SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE EXTENSION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE EXTENSION IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Baytek Software from any claims, damages, or expenses arising from your use of the Extension, your violation of these Terms, or your violation of any third-party rights.

15. Termination

  • You may stop using the Extension at any time by uninstalling it
  • We may terminate or suspend access if you violate these Terms or fail to pay fees
  • On uninstall, configuration data persisted in your Azure DevOps tenant is removed by Microsoft per Extension Data Service policies. License records held by Baytek are retained per the Privacy Policy retention schedule

16. Governing Law

These Terms are governed by the laws of the State of California, USA. Any disputes shall be resolved in the state and federal courts located in California, USA, subject to applicable law.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the “Last updated” date above and, where required by law, communicated to the billing contact at least 30 days before the change takes effect. Continued use of the Extension after the effective date constitutes acceptance.

19. Entire Agreement

These Terms, together with the Privacy Policy and the Microsoft Visual Studio Marketplace Terms of Use, constitute the entire agreement between you and Baytek Software regarding the Extension.

21. AI Assistant on This Website and in the Extension (AGAN AI)

This section applies to anyone who uses AGAN AI, the AI assistant on this website and inside the Extension, whether or not you are a customer. By using the assistant you agree to this section.

  • What it is. An automated AI system that answers questions about Agile Analytics. On this website it answers from the website's public pages. Inside the Extension it answers from the product documentation, a fixed set of counts and codes about your setup and, on the views that show them, the numbers on the view you are on; it cannot see your work items. It is not a person. It cannot see your licence key, payment details or account (beyond whether the user holds a seat and their role), and it cannot take any action for you: it cannot install, buy, change, cancel, refund or extend anything, and it cannot save a setting.
  • Changes it prepares. Inside the Extension, AGAN AI and the Setup advisor can prepare a change to your settings for you to review. Nothing is changed unless a user who is allowed to save that setting reviews the change and confirms it. You remain responsible for your configuration, including any prepared change you confirm.
  • Monthly allowance. AI answers inside the Extension are included in every plan and in the free trial, within a monthly allowance per Azure DevOps organization. They may pause when the allowance is used up or a usage limit is reached, and come back when the allowance resets or the limit clears. The rest of the Extension keeps working while they are paused. An Extension admin can turn AI answers off for the organization.
  • Information only, not an offer. Its answers are general information. They are not an offer, quote, promise, contract, warranty, or legal, financial, security or other professional advice, and no answer creates or changes any agreement. The assistant has no authority to agree prices, discounts, refunds, trial extensions, dates or any other terms for Baytek.
  • What applies instead. If an answer differs from any of the following, the following apply, in this order, and the answer does not: (a) a quote, order or invoice we have issued to you in writing; (b) these Terms and the Privacy Policy; (c) the pricing page and the other pages of this website.
  • Why to check. The assistant writes every answer automatically and can misread or misstate what it draws on. Before you rely on an answer to buy, to plan, to change a setting or to make any other decision, check the page or view it points to or ask a person through Ask Henry.
  • Wrong answers. If you think an answer is wrong, tell us with the thumbs-down button or through Ask Henry, and we will correct the website or the assistant.
  • Acceptable use. You must not: try to make the assistant ignore its instructions, reveal its configuration or produce content unrelated to Agile Analytics; use it for coding or other general-purpose AI tasks; send automated or high-volume requests, or try to get around its limits; submit unlawful, harmful or abusive content, malicious code, or other people's personal data; enter passwords, card numbers, work item text or other sensitive information; or present its answers as statements made by Baytek, including in edited or out-of-context screenshots. We may limit, pause or block use, and may change or withdraw the assistant at any time.
  • Availability and liability. The assistant is provided “as is” and “as available”, with no warranty and no service level. On this website it is free and pauses when a daily usage limit is reached; inside the Extension it pauses as described under Monthly allowance. Ask Henry stays available. Sections 12 and 13 apply to the assistant as they do to the Extension. To the maximum extent permitted by law, Baytek is not liable for any loss arising from reliance on an answer without checking the pages that apply, and if you have paid us nothing, our total liability arising from the assistant is limited to USD 100.
  • Your data. What is sent when you use the assistant, who processes it and for how long is described in section 13 of the Privacy Policy.

Nothing in this section limits rights you have under laws that cannot be limited by contract. Section 16 (Governing Law) applies to this section.
