Backlog Guard for Azure DevOps — License & Terms of Use

1. Acceptance

By installing or using Backlog Guard (“the Extension”), you agree to these License & Terms of Use (“Terms”). If you do not agree, do not install or use the Extension. These Terms are between you (or your organization) and Baytek Software (“Baytek”).

2. The Extension

Backlog Guard is a free Azure DevOps extension that scans Azure Boards work items in the browser and surfaces backlog-hygiene findings (missing estimates, missing acceptance criteria, stale items, broken parent links, missing repro steps, and similar). It runs client-side. There is no Baytek backend.

3. License Grant

Subject to these Terms, Baytek grants you a perpetual, worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable license to install and use the Extension within Azure DevOps organizations you administer, for your internal business purposes.

4. Price

The Extension is free. Baytek does not currently charge for it, and there is no license key, seat count, or subscription. Baytek reserves the right to offer paid features in future releases; existing functionality available at the time of your install will continue to be available under these Terms for that version.

5. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Extension, except where permitted by applicable law
  • Redistribute, sublicense, resell, or rebrand the Extension
  • Use the Extension to develop a competing product
  • Use the Extension in violation of applicable law or Microsoft's Marketplace terms

6. Customer Responsibilities

  • You control installation, configuration, and removal in your Azure DevOps organization
  • You are responsible for any optional AI provider you choose to enable, including the security of any API keys you provide
  • You are responsible for ensuring your use complies with applicable law, your internal policies, and Microsoft Azure DevOps terms

7. Optional Third-Party Integrations

The Extension supports an optional bring-your-own-key AI assist (OpenAI or Anthropic). When you enable it, requests go from your browser directly to the AI provider using credentials you supply. Baytek is not responsible for the availability, terms, or privacy practices of those third-party services. Review and accept their terms before enabling.

8. Data and Privacy

Use of the Extension is also governed by the Backlog Guard Privacy Policy. The Extension runs client-side; Baytek does not collect work item content, telemetry, or any user-identifying data for this product.

9. Updates

We may publish updates to fix bugs, address security issues, or add features. Updates are distributed through the Visual Studio Marketplace. Auto-update behavior is controlled by your Azure DevOps organization settings.

10. Intellectual Property

The Extension, including its source code, design, documentation, and branding, is the intellectual property of Baytek Software. All rights not expressly granted in these Terms are reserved. Trademarks belong to their respective owners.

11. Disclaimer of Warranties

THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Extension will be uninterrupted or error-free, that findings will be 100% accurate (they depend on work item data quality), or that the Extension will meet all of your specific requirements.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYTEK SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE EXTENSION. Because the Extension is provided free of charge, Baytek's total liability for this product shall not exceed USD $50.

13. Termination

You may stop using the Extension at any time by uninstalling it. We may terminate these Terms if you materially violate them. On uninstall, configuration data persisted in your Azure DevOps tenant is removed by Microsoft per Extension Data Service policies.

14. Governing Law

These Terms are governed by the laws of the State of California, USA. Any disputes shall be resolved in the state and federal courts located in California, USA, subject to applicable law.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the “Last updated” date above. Continued use of the Extension after the effective date constitutes acceptance.

17. Entire Agreement

These Terms, together with the Backlog Guard Privacy Policy and the Microsoft Visual Studio Marketplace Terms of Use, constitute the entire agreement between you and Baytek Software regarding Backlog Guard.
